1Definitions

For the purpose of these Terms:

UniTrade refers to the online marketplace platform and its services.

User refers to any person who accesses or uses UniTrade.

Buyer refers to a user who purchases or intends to purchase products through the platform.

Seller refers to a user who lists and sells products on UniTrade.

UltraTrader refers to a user who operates as both a buyer and a seller.

Product refers to any item listed for sale on UniTrade.

Order refers to a purchase request placed by a buyer.

Platform refers to the UniTrade website, applications, and services.

2Eligibility

To use UniTrade, you must:

• Be legally capable of entering into a binding agreement under applicable laws.
• Provide accurate and truthful information during registration.
• Comply with all applicable laws and these Terms & Conditions.

By using UniTrade, you confirm that you meet these requirements.

3User Accounts

To access certain features, you may be required to create an account.

You agree to:

• Provide accurate, current, and complete information.
• Keep your account information updated.
• Keep your password confidential.
• Be responsible for all activities carried out through your account.
• Notify UniTrade immediately if you suspect unauthorized access to your account.

UniTrade reserves the right to suspend or terminate accounts that violate these Terms.

Store Ownership

Each seller or UltraTrader account may operate one active store at a time.

Buyers who upgrade to Seller or UltraTrader may create and manage one store under their account. Multiple stores under a single account are not permitted unless expressly authorized by UniTrade.

If a user wishes to operate additional stores, they must obtain prior written approval from UniTrade.

4Buying on UniTrade

As a buyer, you agree to:

• Review product information carefully before placing an order.
• Provide accurate delivery and contact information.
• Communicate respectfully with sellers.
• Complete purchases in good faith.
• Comply with the platform's policies.

Buyers are encouraged to inspect products upon delivery where applicable and report any issues according to the Refund & Dispute Policy.

5Selling on UniTrade

As a seller, you agree to:

• List only products you are legally permitted to sell.
• Provide accurate product descriptions, pricing, and images.
• Maintain reasonable stock accuracy.
• Respond to buyers professionally.
• Fulfil accepted orders promptly.
• Keep product information up to date.
• Comply with all applicable laws and platform policies.

Sellers are solely responsible for the products they list and sell through UniTrade.

6Prohibited Activities

Users must not:

• Sell illegal, stolen, or counterfeit goods.
• Sell firearms, ammunition, explosives, or other prohibited weapons.
• Sell controlled substances or illegal drugs.
• Sell products that violate applicable laws or regulations.
• Publish or distribute pornographic or sexually explicit content, except where legally permitted and subject to applicable age restrictions.
• Sell age-restricted products to users who are not legally permitted to purchase them.
• Provide false or misleading information.
• Impersonate another person or business.
• Engage in fraudulent transactions.
• Harass, threaten, or abuse other users.
• Promote hate speech, violence, discrimination, or illegal activities.
• Upload malicious software or harmful content.
• Attempt to gain unauthorized access to the platform.
• Disrupt the operation or security of UniTrade.
• Circumvent platform restrictions or create listings intended to deceive users.
• Use automated systems to scrape or misuse platform data without permission.

7Seller Responsibilities

Sellers are responsible for ensuring that their business activities comply with all applicable laws and regulations, including any tax obligations that may apply in their jurisdiction.

UniTrade does not calculate, collect, report, or remit taxes on behalf of sellers unless expressly stated otherwise.

Each seller is solely responsible for maintaining any records and fulfilling any tax obligations required by law.

8Product Authenticity

Sellers are responsible for ensuring that all products listed on UniTrade are genuine, accurately represented, and legally owned or authorized for sale.

9Listing Accuracy

Sellers must ensure that every product listing includes accurate information, including:

• Product name
• Description
• Images
• Price
• Condition
• Availability
• Specifications where applicable

Misleading or intentionally inaccurate listings may be removed without prior notice.

10Inactive Accounts

To maintain an active and reliable marketplace, UniTrade reserves the right to review inactive Seller and UltraTrader accounts.

If a Seller or UltraTrader account remains inactive for an extended period, UniTrade may:

• Temporarily deactivate the associated store.
• Archive listings that are no longer maintained.
• Request confirmation that the user wishes to continue operating their store.
• Permanently remove inactive stores after providing reasonable notice where appropriate.

Buyer accounts are generally not affected by this policy unless they violate these Terms or other applicable platform policies.

11Orders and Transactions

UniTrade provides a platform that enables buyers and sellers to connect and conduct transactions.

While UniTrade facilitates these interactions, the buyer and seller are responsible for fulfilling their respective obligations during a transaction.

UniTrade may intervene in disputes where appropriate and in accordance with its policies.

12Pricing

Sellers are responsible for setting accurate product prices.

Prices displayed on UniTrade are determined by individual sellers unless otherwise stated.

UniTrade reserves the right to remove listings that contain obvious pricing errors or violate platform policies.

13Refunds and Disputes

Refund requests and dispute resolution are handled in accordance with the Refund Policy, available in our Help Center.

Users are encouraged to review that policy before making purchases or listing products.

14Intellectual Property

The UniTrade name, logo, branding, website design, and original platform content are the intellectual property of UniTrade unless otherwise stated.

Users retain ownership of the content they upload but grant UniTrade the right to display and use such content as necessary to operate the platform.

Users must not copy, modify, distribute, or reproduce UniTrade's intellectual property without prior written permission.

15Account Suspension and Termination

UniTrade may suspend or permanently terminate an account if a user:

• Violates these Terms.
• Engages in fraud or deceptive practices.
• Repeatedly breaches platform policies.
• Uses the platform for illegal activities.
• Attempts to compromise the security or integrity of the platform.

Depending on the nature of the violation, UniTrade may remove listings, restrict access, or permanently disable an account.

16Limitation of Liability

UniTrade provides a platform that enables buyers and sellers to interact.

While we strive to maintain a reliable marketplace, UniTrade does not guarantee the quality, safety, legality, or availability of products listed by third-party sellers.

To the extent permitted by law, UniTrade shall not be liable for losses arising from transactions conducted between users, except where such liability cannot legally be excluded.

17Changes to These Terms

UniTrade may update these Terms & Conditions from time to time.

When significant changes are made, we will update the "Last Updated" date and may notify users through the platform.

Continued use of UniTrade after such changes constitutes acceptance of the updated Terms.

18Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without prejudice to any mandatory legal protections that may apply under applicable law.
